Adaptation of a Different size SKU packaging

I need to make the adaptation of a base packaging layout to a different size of packaging. Some info may change, like a few words (example: 3 pieces instead of 6 pieces) The base layout will be donned in CS6 illustrator, with PSD images. The art must be delivered in two different ai files:
File 1. Editable file (with full texts and strokes for future adaptations)
File 2. Non editable file final file for printing ( all text must be converted to graphic as well as the strokes extended, overprints, etc)
+ The name and number of layers must be the same as the base layout file.
+ Direct inks must be the same also.
+ This file will be used for flexography printing process.
